The Sir Dorabji Tata Trust during their Thursday board meet stated, “The Sir Dorabji Tata Trust (SDTT) respects Mr. Chandrasekaran’s decision not to offer himself for reappointment. We place on record our deepest appreciation for his contribution and stewardship of Tata Sons and the Tata group over the past decade. We thank him for his immense contribution during a period of significant change, growth and transformation across the Group. The Trustees of the Sir Dorabji Tata Trust have passed a resolution to initiate the setting up of a Selection Committee as soon as possible in accordance with the Articles of Association of Tata Sons, for the purpose of recommending a person for appointment as the new Chairman of the Board of Directors.” However questions have been raised on whether the Sir Dorabji Tata Trust and Sir Ratan Tata Trust can together jointly nominate a representative given the regulatory ban on Sir Ratan Tata Trust (SRTT).

Reports suggest Tata Sons plans to move forward with its annual general meeting (AGM) and will adjourn it if the required quorum is missing, while the Sir Ratan Tata Trust (SRTT) has sought relief from the public charities regulator (the Maharashtra Charity Commissioner) to lift the ban on holding its trustee meetings. Tata Sons is scheduled to hold its AGM on August 18, 2026.

The regulatory ban on the Sir Ratan Tata Trust (SRTT) by the Maharashtra Charity Commissioner stems from an ongoing inquiry into trustee composition and alleged violations of public trust rules. This restriction prevents the Trust from convening meetings, creating quorum hurdles for Tata Sons and freezing major grants. The Sir Ratan Tata Trust has been prevented from convening trustee meetings following directions from the Maharashtra Charity Commissioner. This has created difficulties for Tata Trusts’ joint decision-making.

N Chandrasekaran announced his exit from Tata Sons on August 12, 2026 . In a detailed statement N Chandrasekaran said,

“I have completed 40 years of professional life at the Tata Group. I am grateful for the immensely satisfying opportunity to contribute to this venerable institution. Leading Tata Sons over the past decade has been a great honour and a profound responsibility. My current tenure as the Chairman of Tata Sons comes to an end on Feb 20, 2027. Sir Dorabji Tata Trust and Sir Ratan Tata Trust had unanimously resolved and recommended the extension of my next term for a period of five years, which was recorded and recommended by the Tata Sons Nomination and Remuneration Committee and the Board. Subsequently, the resolution was tabled in the Tata Sons Board on Feb 24, 2026. However, the proposal was not carried through because one of the Board Members did not support it, and in the absence of unanimous support, I chose to defer the decision. It has been 6 months since that Board meeting, and no resolution has been reached till date. Tata Sons is a very large institution and there are many strategic projects that are under critical stages of execution. It is not only necessary to have a leader in place to lead the Group beyond Feb 2027, but also clarity on leadership is important for employees, investors, partners and other stakeholders. Under these circumstances, earlier today, I have communicated to the Tata Sons Board, that I have decided not to offer myself for reappointment when my term ends on Feb 20, 2027. I have asked the Board to decide on the succession soon to ensure a proper transition. I am grateful for the support of all stakeholders.”
